(UEN No. 202238428M) and its affiliates/subsidiaries (collectively, "STULZ"), is subject to recognition and acceptance of the terms in these Terms of Use, as well as STULZ’ respective Privacy Statements for our customers/users in Singapore. By using and/or accessing the Website, the user accepts these Terms of Use in their current version as valid and binding. Where other contractual relationships with STULZ are concerned, the terms agreed in this respect shall take precedence.

Insofar as information or documentation are made available on the Website at no cost, any liability on the part of Stulz for defects as to quality or title, especially in relation to their correctness, absence of defects, or the absence of claims or third-party rights, or in relation to completeness and/or fitness for purpose, is excluded - unless required by law, in accordance with paragraph 16 of section V of these Terms of use.
 

IV. Duties of the user

10. Access to the Website, as well as to the information and documentation found thereon, from countries where such access is unlawful, is prohibited.

11. In utilizing the Website, the user shall comply with all applicable statutory regulations, decrees, and official instructions without exception and shall not harm other persons or infringe their personal rights, violate any industrial property right, copyright or any other proprietary right, upload any content containing malware, viruses or Trojan Horses, or distribute advertising or unsolicited e-mails ("spam") or inaccurate warnings of viruses, defects or similar material, nor shall the user solicit or request participation in any lottery, snowball system, chain letter, pyramid scheme or similar activity.

12. Without prejudice to paragraph 10 of Section IV of these Terms of Use above, the user further undertakes that he/she shall not use the Website:

  1. in violation of any law, rule, and/or regulation;

  2. for any unlawful purpose; and/or

  3. to conduct unauthorised collection of others’ personal information.
     

13. In the event STULZ should be held liable for any user’s violation and/or infringement of STULZ’ terms, in particular under paragraphs 10, 11 and 12 of Section IV of these Terms of USE above, the user undertakes to and shall indemnify STULZ against all damage and/or loss and/or liability (including any and all legal fees incurred) that arise from and/or in connection with the user’s violation of the STULZ’ terms in these Terms of Use.

V. Liability

14. The Website may contain hyperlinks to the web pages of third parties which are not affiliated with STULZ, and over whose content STULZ has no influence. The respective provider or operator of the pages in question is always responsible for the contents of such linked websites of third parties. STULZ holds no responsibility for examining or evaluating the contents of these linked websites of third parties (including the accuracy of the contents of these websites), and does not make representations about or endorse such content as its own. The use of such web pages shall be at the sole risk of the user.

15. STULZ shall have no liability for any disruptions to the continuous availability and/or accessibility of the Website.

16. Subject to paragraph 8 of Section III of these Terms of Use, STULZ expressly disavows and denies any liability for the information and documentation provided on the Website, unless required by law in cases of wilful misconduct, gross negligence, personal injury or death, fraudulent misrepresentation, and/or fraudulent concealment of a defect.

17. STULZ does not guarantee that the STULZ website is virus-free.

VI. Concluding terms

18. Severability of terms: Where any term in these STULZ’ Terms of Use is, or becomes contrary to the law, such term shall be severable from these Terms of Use, and the remaining terms shall remain valid, binding, and enforceable on the user.

Entire Agreement: These Terms of Use shall constitute the entire agreement between STULZ and the user in respect of the use of the STULZ Website, and are valid and binding between STULZ and the user. For the avoidance of doubt, STULZ possesses the full rights to revise the terms in these Terms of Use at any time, although the Terms of Service visible on this Website at any time shall be the most current version.

20. Choice of Law and Dispute Resolution: These Terms of Use shall be governed by the laws of Singapore. Any dispute that arises out of and/or in connection with terms of these Terms of Use shall be adjudicated by a competent court of law in Singapore in accordance with the procedural regulations and legislation applicable under the laws of Singapore.
